Sub: Outcome of Board Meeting- Intimation for appointment of the Statutory Auditor of the Company

With reference to the above and further to our intimation letter dated June 28, 2024, we wish to inform you that the Board of Directors of the Company at its meeting held today, i.e. Saturday, July 6, 2024, has noted resignation of M/s. V J Shah & Co, Chartered Accountants, (Registration No. 109823W), as statutory auditors of the Company w.e.f. June 28, 2024.

Further, the Board, at its meeting held today, pursuant to the recommendation of the Audit Committee, has approved the appointment of M/s. Gokhale & Sathe, Chartered Accountants (FRN: 103264W), as the Statutory Auditors of the Company, to fill the casual vacancy caused by the resignation of M/s. V J Shah & Co, Chartered Accountants, (Registration No. 109823W) and to hold office until the conclusion of 38[th] Annual General Meeting.

Further, pursuant to the recommendation of Audit Committee of the Company, the Board also had recommended to the shareholders for its approval at ensuing Annual General Meeting, the appointment of M/s. Gokhale & Sathe, Chartered Accountants (FRN: 103264W as Statutory Auditors of the Company for a period of five years to hold office from the conclusion of the 38[th] Annual General Meeting till the conclusion of 43[rd] Annual General Meeting. The said appointment is pursuant to applicable provisions of the Companies Act, 2013 and the SEBI Listing Regulations, 2015.

Further, details with respect to the appointment of statutory auditors of the Company as required under Regulation 30, read with Schedule III of the SEBI Listing Regulations and relevant circulars issued in this regard, are annexed herewith.

The meeting of the Board commenced at 3:50 pm and concluded at 4:18 pm
