Sub: Prior Intimation of the Meeting of Board of Directors under Regulation 29 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 Ref: Security Id: YARNSYN / Code: 514378/890197
In furtherance to our intimation dated September 29, 2023 informing approval of the Board of Directors of the Company for issuance of the equity shares by way of Right’s Issue to the eligible equity shareholders of the Company in accordance with the provisions of the Companies Act, 2013 and the rules made thereunder, the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018, each as amended, and other applicable laws, and pursuant to Regulation 29 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, we hereby inform you that the meeting of the Board of Directors of the Company is scheduled to be held on Monday, March 9, 2026 to consider inter alia :
(i). making of First & Final call on the outstanding 1,80,00,000 (One Lakh Eighty Thousand) partly paid-up equity shares of the Company which were allotted on February 27 , 2024 , on Right Basis pursuant to the Letter of offer(LOF) dated 25[th] January, 2024; and/or
(ii) any other matter with the permission of Chairman.
Further, as per the Securities and Exchange Board of India (Prohibition of Insider Trading) Regulations, 2015 and the Company's Code of Conduct, the Trading Window for dealing in the securities of the Company shall remain closed with immediate effect till the expiry of 48 hours after the conclusion of the Board meeting.
