The Board of Directors (“the Board”) at its meeting held on Thursday, 12[th] December, 2024 commenced at 4.00 p.m. and concluded at 4:45 p.m., inter alia:

1. On recommendation of Audit Committee, considered and recommended the appointment of M/s. SSRV & Associates., Chartered Accountants, Mumbai (FRN: 135901W) to fill up the casual vacancy in the office of the statutory auditor subject to the approval of shareholders in the general meeting of the Company.

The Board of Directors in the previous Board meeting held on Monday, 9[th] December, 2024 recommended appointment of M/s. Aniket Goyal & Associates, Ahmedabad. However, we later received information from the auditor that he will not be able to act as Statutory Auditor of the Company as his limit exceeded the prescribed limit as specified in sub section 3(g) of section 141 of the Companies Act, 2013. Thus, Board is recommending the appointment of M/s. SSRV & Associates., Chartered Accountants, Mumbai (FRN: 135901W).

The information with respect to Change in Auditors of the Company as required under Regulation 30 read with Schedule III of the Listing Regulations and SEBI Circular no. SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated July 13, 2023 are annexed herewith as Annexure-A.
