RAVI NIRANJAN PANDYA (DIN: 09509086) as an Additional Director (Non-Executive) on the Board of Directors of the Company w.e.f., Friday, 12[th] May, 2023 to hold office up to the date of ensuing Annual General Meeting of the Company.

Pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, We are pleased to inform you that the Board of Directors of the Company in their meeting held today and on recommendation of Nomination and remuneration Committee has appointed MRS. NIDHI BANSAL (DIN: 09693120) as an Additional Director (Non-Executive & Independent) on the Board of Directors of the Company w.e.f., Friday, 12[th] May, 2023 to hold office for a term of 5 (five) consecutive years upto 11[th] May, 2028, subject to the approval of the shareholders in the General Meeting pursuant to Section 149, 150, 152 read with Schedule IV and Section 161(1) read with Companies (Appointment and Qualification of Directors) Rules, 2014 and other applicable provisions, sections, rules of the Companies Act, 2013 (including any statutory modifications or re-enactment thereof for the time being in force).

- 3. Resignation of Independent Director (Non Executive)

Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with SEBI Circular No. CIR/CFD/CMD/4/2015 dated September 9, 2015 and Para A of Part A of Schedule III to the said Regulations, we wish to inform that MR. SOURAV BHATTACHARJEE (DIN: 07833611) has resigned from the position of Non-Executive Independent Director of the Company with effect from close of business hours on Friday, 12[th] May, 2023, due to pre-occupation elsewhere, he will not able to devote sufficient time on the Board of the Company. Further, there is no other material reason other than stated above for his resignation.

- 4. Resignation of Independent Director (Non Executive)

Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with SEBI Circular No. CIR/CFD/CMD/4/2015 dated September 9, 2015 and Para A of Part A of Schedule III to the said Regulations, we wish to inform that MS. NEHA AMIN MERCHANT (DIN: 07454674) has resigned from the position of Non-Executive Independent Director of the Company with effect from close of business hours on Friday, 12[th] May, 2023, due to time constraint, she will not able to devote sufficient time on the Board of the Company. Further, there is no other material reason other than stated above for his resignation.
