PURSUANT TO RULE 3.7 OF THE HONG KONG TAKEOVERS CODE
END OF OFFER PERIOD
This announcement is made by Yancoal Australia Limited (“Yancoal” or the “Company”) pursuant to Rule 3.7 of the Hong Kong Code on Takeovers and Mergers (the “Hong Kong Takeovers Code”).
Yancoal refers to (i) its announcements dated 30 May 2022, 7 June 2022, 7 July 2022 and 8 August 2022 in relation to the Potential Transaction (the “Announcements”) and (ii) the announcements made by Yankuang Energy dated 25 May 2022, 7 June 2022, 7 July 2022 and 8 August 2022. Unless otherwise specified, capitalised terms used herein shall have the same meanings as those defined in the Announcements.
UPDATE ON THE POTENTIAL TRANSACTION
Yancoal wishes to update its shareholders and potential investors that, on 8 September 2022, it was informed by Yankuang Energy that Yankuang Energy had decided not to proceed further with the Potential Transaction.
END OF OFFER PERIOD
For the purpose of the Takeovers Code, the offer period ends on the date of this announcement.
In accordance with Rule 31.1(b) of the Takeovers Code, neither Yankuang Energy nor the parties acting in concert with it may, within 6 months from the date of this announcement, announce an offer or possible offer for shares in the Company, or acquire shares in the Company in circumstances which would trigger a mandatory offer, except in each case with the consent of the Executive of the Securities and Futures Commission.
