ANNOUNCEMENT

This announcement is made at the request of The Stock Exchange of Hong Kong Limited.

The board of directors (“the Board”) of Chaoda Modern Agriculture (Holdings) Limited (“the Company”) have noted the increase in trading volume of the shares of the Company today, and wish to state that they are not aware of any reason for such increase, except that Mr. Kwok Ho (“Mr. Kwok”), the Chairman and the controlling shareholder of the Company, through his wholly-owned company, Kailey Investment Ltd., (“Kailey”), placed his holding of 120,000,000 shares in the Company through an independent placing agent to independent investors at a placing price of HK$6.90 per placing share on 21 June 2007.

After the completion of such disposal, the number of shares held by Mr. Kwok in the Company, through Kailey, will be reduced from 729,748,000 shares to 609,748,000 shares, representing approximately from 30.59% to 25.56% of the existing issued share capital of the Company.

The Board confirm that except as mentioned above, there are no negotiations or agreements relating to intended acquisitions or realisations which are discloseable under Rule 13.23 of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (“the Listing Rules”), nor are the Board aware of any matter discloseable under the general obligation imposed by Rule 13.09 of the Listing Rules, which is or may be of a price-sensitive nature.
