The Management Board of XTPL S.A. (the "Company", the "Issuer") herebyinforms that on the basis of an authorisation granted by Resolution no03/06/2020 of the Extraordinary Shareholders Meeting of XTPL S.A. heldon 8 June 2020 concerning an increase in the Company's share capitalthrough the issuing of series T ordinary bearer shares, deprivingshareholders of their pre-emption right to series T shares in theirentirety, amendment of the Company articles of associations, seeking theadmission and introduction of series T shares into trading on theregulated market conducted by the Warsaw Stock Exchange (Giełda PapierówWartościowych w Warszawie S.A.), and the dematerialisation of series Tshares, on 9 June 2020 the Company Supervisory Board adopted aresolution in which it determined the issue price for newly-issuedCompany series T bearer shares at the level of PLN 74 (seventy fourPolish zloty) for one series T share - the price was determined ad VWAP(Volume Weighted Average Price) for 30 days period before ShareholdersMeeting which adopted resolution on issuing series T shares and 8%discount.
