XTPL S.A. — Share Issue/Capital Change 2020

The Management Board of XTPL S.A. (the "Issuer") announces that on 24August 2020, the Management Board of the Warsaw Stock Exchange ("WSE"),issued resolution No. 626/2020, deciding as follows:

I. admit to trading on the parallel market of the Warsaw Stock Exchange("Parallel Market"), 125 000 series T ordinary bearer shares ("AdmittedShares");

II. introduce to trading on the Parallel Market, as of 28 August 2020(the listing date) 125 000 series T ordinary bearer shares provided thatthe Central Securities Depository of Poland (Krajowy Depozyt PapierówWartościowych S.A., KDPW) registers these shares on 28 August 2020,coding them as "PLXTPL000018";
