Referring to ESPI Current Report No. 26/2019 of 13 June 2019, ESPICurrent Report No. 27/2019 of 26 June 2019 and ESPI Current Report No.31/2019 of 19 July 2019 the Management Board of XTPL S.A. (the "Issuer")announces that:

in connection with completed subscription for the S Series Shares, theManagement Board, pursuant to Article 431 §7 and Article 310 § 2 and 4and Article 441 § 2(7) of the Commercial Companies Code, has made astatement, in the form of notarial deed, that the Issuer's share capitalincrease by the amount of PLN 7,800.00 by way of issue of 78,000 SSeries Shares was taken up in full by 19 July 2019, therefore theIssuer's share capital is increased by the amount of PLN 7,800.00 to theamount of PLN 190,422.20 by way of issue of 78,000 S Series Shares.

Registration of changes to the Articles of Association by the registrycourt with respect to the share capital increase as a result of theissue of the S Series Shares will be communicated by the ManagementBoard in a separate current report.
