Content of the Report:The Management Board of XTPL S.A. (the"Company", "Issuer") reports that today it has learned that on 6 July2022 the District Court for Wrocław-Fabryczna in Wrocław, 6th CommercialDivision of the National Court Register, registered amendments to theCompany's Articles of Association adopted by the Extraordinary GeneralMeeting of the Company on 21 June 2022 by Resolution No. 04/06/2022 onamendments to the Articles of Association, on the basis of which §5b(2)and §5b(4) of the Company's Articles of Association were amended.

Furthermore, by Resolution No. 05/06/2022, the Extraordinary GeneralMeeting adopted the consolidated text of the Company's Articles ofAssociation.
