W wykonaniu obowiązku, o którym mowa w art. 69 ust. 1 pkt 2 w związku z art. 87 ust. 1 pkt 3 lit. b ustawy z dnia 29 lipca 2005 r. o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych (dalej: "Ustawa"), działając w imieniu Universal-Investment-Gesellschaft mbH z siedzibą we Frankfurcie nad Menem (dalej: "Universal-Investment"), zarządzającego i działającego w imieniu i na rachunek ACATIS Datini Valueflex Fonds - funduszu inwestycyjnego prawa niemieckiego (dalej: "Acatis"), zawiadamiam o zmniejszeniu udziału w ogólnej liczbie głosów w XTPL S.A. z siedzibą we Wrocławiu (dalej: "XTPL") z 7,492% do 0%.

1. Data i rodzaj zdarzenia powodującego zmianę udziału, której dotyczy zawiadomienie:

W dniu 19 września 2018 r. nastąpiła zmiana zarządzającego funduszem Acatis z Universal-Investment na ACATIS Investment Kapitalverwaltungsgesellschaft mbH z siedzibą we Frankfurcie nad Menem

$2.$ Liczba akcji posiadanych przed zmianą udziału i ich procentowy udział w kapitale zakładowym spółki (XTPL) oraz liczba głosów z tych akcji i ich procentowy udział w ogólnej liczbie głosów:

Przed zdarzeniem opisanym w pkt 1 powyżej, Universal-Investment działający w imieniu i na rachunek Acatis zarządzał 127.000 akcjami XTPL, co łącznie stanowiło 7,492 % udziału w kapitale zakładowym XTPL i uprawniało do 127.000 głosów na walnym zgromadzeniu akcjonariuszy XTPL, co stanowiło 7,492 % w ogólnej liczbie głosów.

As part of performance of the obligation referred to in Article 69(1)(2) in conjunction with Article 87(1)(3)(b) of the Act on public offer and the conditions for introducing financial instruments to the organized trading system and public companies of 29 July 2005 (the "Act"), acting on behalf of Universal-Investment-Gesellschaft mbH with its registered office in Frankfurt am Main ("Universal-Investment"), managing and acting for and on behalf of ACATIS Datini Valueflex Fonds, an investment fund existing under German law ("Acatis"), I hereby provide notification about reduction of the share in the total number of votes in XTPL S.A. with its registered office in Wrocław ("XTPL") from 7.492% to 0%.

Date and type of the event causing the change in the $\mathbf{1}$ share referred to in the notification:

On 19 September 2018, the investment manager of the Acatis fund changed from Universal-Investment to ACATIS Investment Kapitalverwaltungsgesellschaft mbH with its registered office in Frankfurt am Main.

1. The number of shares held before the change in the share and their percentage share in the share capital of the company (XTPL), and the number of votes carried by those shares with their percentage share in the total number of votes^.

Prior to the event described in point 1 above, Universal-Investment acting for and on behalf of Acatis managed 127,000 XTPL shares, which jointly constituted 7.492% of the XTPL's share capital and carried 127,000 votes at the general meeting of shareholders of XTPL, constituting 7.492% of the total number of votes.

3. The number of shares held currently and their percentage share in the share capital of the company (XTPL), and the number of votes carried by those shares with their percentage share in the total number of votes:

At present, Universal-Investment manages 0 XTPL shares, which jointly constitute 0% of the XTPL's share capital and carry % udziału w kapitale zakładowym XTPL i uprawnia do 0 głosów na walnym zgromadzeniu akcjonariuszy XTPL, co stanowi 0 % w ogólnej liczbie głosów.
