The Management Board of XTPL S.A. [_quot;Issuer_quot;, _quot;Company_quot;, _quot;XTPL_quot;]announces that on July 2, 2024, a non-exclusive distribution agreementfor the Issuer's technology solutions [_quot;Agreement_quot;] was signed betweenthe Issuer and Vector Technologies Ltd, headquartered in Greece[_quot;Vector_quot;, _quot;Distributor_quot;].

Under the signed Agreement, the Distributor will advertise and sellXTPL's technology solutions in Greece. The cooperation is intended tosupport XTPL in finding new Customers in academia and industry as wellas seeking broader applications for its technologies and products andwill focus on introducing solutions in the thin film photovoltaics,memristors and sensors.

Vector is a leading company supplying research and manufacturingequipment and materials in Greece to the universities and industriessuch as semiconductor or telecommunications. As part of the cooperation,the Distributor will promote XTPL's solutions to its existing and newcustomers.

The Issuer's Management Board considered the fact that the DistributionAgreement in question was concluded to be confidential information, asits implementation may have a significant impact on the Issuer's futurerevenue situation, the popularization of the Company's technologicalsolutions, as well as the prospect of investors' perception of theIssuer.

In view of the above, in the opinion of the Management Board, theinformation on the conclusion of the Agreement meets the criteriaindicated in Article 7(1) of the MAR Regulation.
