Contents of the Report:

With reference to Current Report No. 17/2021, the Management Board ofXTPL S.A. [the "Company", "Issuer"], hereby reports that on 3 November2021, the Company signed an agreement for delivery of a system for theintegration of raw materials in photonic applications ["Agreement"] withthe Łukasiewicz Research Network - PORT Polish Center for TechnologyDevelopment ["Buyer"]. The agreement was finalized after the Buyer hadselected the Company's offer in a public procurement procedure conductedas an unlimited tender (as announced by the Company in Report No.17/2021 on 4 October 2021).

The Agreement concerns the sale, delivery, commissioning of, stafftraining and maintenance support for the system for integrating rawmaterials in photonic applications. As part of the Agreement, the Issueris to supply its proprietary Delta Printing System. The value of theagreement is PLN 612,000.00 net.

The PORT Polish Center for Technology Development is an institute thatconducts fundamental and applied research in materials engineering andbiotechnology. It is also part of the Łukasiewicz Research Network,which brings together 32 research institutes in 12 Polish cities,employing eight thousand people, which makes it the third largestresearch network in Europe.

The Management Board of XTPL S.A. has decided that the signing of theAgreement is inside information due to the significant value of theoffer and its importance in the context of the Company's currentbusiness size. The project revenue will have a positive impact on XTPL'sfinancial performance in 2021.
