Content of the Report:

The Management Board of XTPL S.A. (_quot;Company_quot;, _quot;Issuer_quot;) informs that onJune 28, 2024 the Annual General Meeting of the Company appointed Ms.Agata Gładysz-Stańczyk to the Company's Supervisory Board entrusting herwith the function of Member of the Company's Supervisory Board.

According to the statement submitted, Ms. Agata Gladysz-Stańczyk:

- meets the independence criteria described in Article 129, paragraph 3of the Act of May 11, 2017 on auditors, audit firms and publicsupervision;

- she has no actual and significant relationship with a shareholder ofthe Company holding at least 5% of the total number of votes in theCompany;

- is not entered in the Register of Insolvent Debtors, maintainedpursuant to the Act of August 20, 1997 on the National Court Register;

- does not carry out activities competitive to the Company, does notparticipate in a company competitive to the Company as a partner in acivil partnership, partnership or capital company, and does notparticipate in any other competitive legal person as a member of itsbody.

Information on education, qualifications and previously held positions,along with a description of the course of professional work andinformation on other activities performed outside the Company by Ms.Agata Gladysz-Stańczyk is attached to the report.
