Content of the Report:The Management Board of XTPL S.A. with itsregistered office in Wroclaw [_quot;Issuer_quot;, _quot;Company_quot;] informs that onOctober 29, 2023, Mr. Andrzej Domanski submitted his resignation fromthe position of vice-chairman of the Supervisory Board and member of theAudit Committee of the Company, effective October 29, 2023.

Mr. Andrzej Domanski indicated that the reason for his resignation ishis appointment to a public position. The Issuer's Management Boardemphasizes that the resignation does not affect the functioning of theCompany's Supervisory Board and Audit Committee, which will continue tofunction in the normal course in accordance with legal regulations andbest practice requirements.

The Chairman of the Supervisory Board and the Issuer's Management Boardwould like to thank you Mr. Andrzej Domański for the work he contributedduring his term as a member of the Supervisory Board and the AuditCommittee of the Company.
