The Management Board of XTPL S.A. (the "Issuer") hereby advises thattoday (9 August 2019), the Issuer has signed an agreement with 4AUDYTsp. o.o. with its registered office in Poznań for a half-yearly reviewof unconsolidated and consolidated financial statements and an annualaudit of unconsolidated and consolidated financial statements for theyears 2019-2020 (the "Agreement").

4AUDYT sp. z o.o is entered in the list of audit firms kept by theNational Council of Statutory Auditors under reference number 3363.

The Issuer has so far used the entity to audit its financial statementsfor the years 2017 and 2018.

4AUDYT sp. o.o. was appointed to carry out the work specified in theAgreement under Article 66(4) of the Accounting Act of 29 September 1994(consolidated text: Journal of Laws of 2019, item 351), on the basis ofa decision of the Issuer's Supervisory Board. The audit firm selectionprocess was carried out in accordance with applicable laws andprofessional standards.
