Content of the Report:

The Management Board of XTPL S.A. (the _quot;Company_quot;, the _quot;Issuer_quot;)announces the contents of the resolutions adopted at the Annual GeneralMeeting of the Company held on June 28, 2024 (the _quot;AGM_quot;), together withthe number of shares from which valid votes were cast and the percentageof such shares in the share capital, the total number of valid votes,including the number of votes _quot;for_quot;, _quot;against_quot; and _quot;abstaining_quot;. Thecontent of the resolutions is included in Appendix 1 to the report.

Shareholders present at the AGM submitted during the AGM draftresolutions on the issues included in the agenda. The Company'sManagement Board provides the contents of the draft resolutionssubmitted by the Company's shareholders during the AGM in Appendix No. 2to the report.

The above resolutions were adopted by the AGM in the wording proposed bythe shareholders.

The AGM did not waive consideration of any agenda item.

There were no objections to any of the resolutions of the AGM.
