Subject: Issuance of Corporate Guarantee on behalf of Xpro Dielectric Films FZ-LLC (Wholly owned subsidiary)

This is to inform you that the Board of Directors of the Company, at its meeting held today, i.e., October 15, 2024, has inter-alia, considered and approved Guaranteeing an amount of upto EUR 12,048,750 (approximately INR 110.52 Crores) in favour of Brückner Maschinenbau GmbH in respect of the liability of its Wholly Owned Subsidiary i.e. Xpro Dielectric Films FZ-LLC , towards payment of contractual dues for the procurement of capital equipment.

Disclosures under Regulation 30 of SEBI Listing Regulations read with SEBI circular dated July 13, 2023, bearing reference no. SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123, are provided in ‘Annexure I’.

Further, the said meeting commenced at 5.00 P.M. and concluded at 5.40 P.M.
