In terms of Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”), we wish to inform you that the Board of Directors of the Company, vide Circular Resolution(s) dated April 1, 2025, has inter alia , approved the following:

1. Appointment of Sri Gaurav Jashwantlal Shah (DIN: 10922578), as an Additional Director (designated as Non-Executive Independent Director), w.e.f. April 14, 2025, not liable to retire by rotation, for a period of 5 (five) consecutive years as per the terms & conditions as recommended by the Remuneration & Nomination Committee and in accordance with the provisions of the Companies Act, 2013, Listing Regulations & subject to the approval of the shareholders.

Sri Shah is not related to any of the Director(s) or Key Managerial Personnel or Promoter(s) / Promoter group of the Company. Further, Sri Shah is not debarred from holding Directorship by virtue of any SEBI order or any other Authority.

A brief profile of Sri Shah is enclosed herewith and marked as Annexure A.

1. Appointment of Sri Utsav Parekh (DIN: 00027642), as an Additional Director (designated as NonExecutive Non-Independent Director), w.e.f. April 14, 2025, liable to retire by rotation, as per the terms & conditions as recommended by the Remuneration and Nomination Committee and in accordance with the provisions of the Companies Act, 2013, Listing Regulations & subject to the approval of the shareholders.

Sri Parekh is not related to any of the Director(s) or Key Managerial Personnel or Promoter(s) / Promoter group of the Company. Further, Sri Parekh is not debarred from holding Directorship by virtue of any SEBI order or any other Authority.

BRIEF PROFILE OF SRI GAURAV JASHWANTLAL SHAH

Sri Gaurav J. Shah is a seasoned Chartered Accountant with over four decades of expertise in Audit & Assurance, Taxation, and Financial Advisory Services. His deep knowledge spans US GAAP reporting, IFRS audits, due diligence, IPO advisory, statutory audits, mergers & acquisitions, and business advisory. Having been associated with Deloitte for more than 40 years, Sri Shah has played a key role in advising and guiding leading corporates across diverse industries, including Energy, Manufacturing, Infrastructure, Pharmaceuticals, Chemicals, and Financial Services. An active contributor to the Institute of Chartered Accountants of India (ICAI), he served as Chairman of its Ahmedabad Branch in 2000. Beyond his professional endeavors, Sri Shah has a keen interest in organizational management, human behavior, and strategic analysis.

BRIEF PROFILE OF SRI UTSAV PAREKH

Sri Utsav Parekh holds a Bachelor’s Degree in Commerce with honours. He has vast and continuing experience of about 44 years as Merchant Banker, and in Stock Broking and Financial Services. He serves on the Board of several leading companies in the country like Jay Shree Tea and Industries Limited, First Source Solutions Limited, Texmaco Rail & Engineering Limited, Spencer’s Retail Limited, Eveready Industries India Limited, Bengal Aerotropolis Projects Limited etc. He is also a Member of Indian Chamber of Commerce, Calcutta. Sri Parekh had been associated with the Company since 1999 and in accordance with the Companies Act, 2013, upon completing his second term of five consecutive years, retired from the Board as an Independent Director on July 30, 2024.
