Sub : Prior intimation in accordance with Regulation 29 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“ Listing Regulations ”) and the SEBI (Delisting of Equity Shares) Regulations, 2009 (“ Delisting Regulations ”) with respect to the meeting of the Board of Directors of Xchanging Solutions Limited (“ Company ”) to be held on Friday, August 28, 2020 to consider and approve the proposal for voluntary delisting of equity shares of the Company.

1. This is in continuation of our intimation dated August 13, 2020.

2. In terms of Regulation 29 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (as amended from time to time), we wish to inform you that a meeting of the Board of Directors of the Company is being convened on Friday, August 28, 2020 (the “ Board Meeting ”) in order to inter alia :

   • (i) take on record and consider the due diligence report to be prepared and submitted by Saffron Capital Advisors Pvt. Ltd., the Merchant Banker of the Company, in accordance with Regulations 8 and other relevant provisions of the SEBI (Delisting of Equity Shares) Regulations, 2009; and

   • (ii) take a decision on the voluntary delisting proposal submitted by DXC Technology India Private Limited vide its letter dated August 5, 2020.
