Xaar plc (the "Company")

Director/PDMR Shareholding - SIP Purchase

The Company announces that as a result of purchases of ordinary shares of 10 pence each in the Company ("Ordinary Shares") at a price of 473 pence per Ordinary Share by the Xaar plc Share Incentive Plan (the "SIP") on 17 April 2013, four Executive Directors acquired the following number of Ordinary Shares in the Company:

In accordance with the terms of the SIP, the persons named above were awarded Matching shares equal to the number of Partnership shares purchased. The Matching shares will vest on the third anniversary of the date of the award subject to continued employment for those three years.

All of the shares purchased by the SIP were acquired via transfer from the Xaar plc ESOP.
