Notice of Extraordinary General Meeting of Shareholders

In connection with the upcoming extraordinary general meeting of shareholders (the “ EGM ”) of Powerbridge Technologies Co., Ltd. (“ Powerbridge ” or the “ Company ”) on May 30, 2023, the Company furnishes the following documents:

1) A copy of the Notice of Extraordinary General Meeting of Powerbridge Technologies Co., Ltd. (the “ Notice ”); and

2) A form of proxy card (the “ Proxy Card ”).
