This is to inform you that the Nomination and Remuneration Committee of the Company through Circular Resolution on May 28, 2024 has approved the allotment of 1,52,827 equity shares of the face value of Rs. 10/- each to the eligible employees who have exercised their vested stock options under Employees Stock Option Plan – 2018 (‘ESOP Plan-2018’) of the Company.

The said shares will rank pari-passu with the existing shares of the Company in all respect.

Consequent to the above allotment the total number of equity shares of the Company has increased from 1,18,64,801 to 1,20,17,627 shares.

Further, this intimation is in terms of Regulation 30 of the SEBI (LODR) Regulations, 2015. The disclosure as required under Regulation 30 of SEBI (LODR) Regulations, 2015 with respect to the ESOP is enclosed herewith as “ Annexure-1 ”.

The information as required under Regulation 10(c) of the SEBI (Share Based Employee Benefits and Sweat Equity) Regulations, 2021 for issue of shares under the ESOP Plan – 2018 is also attached herewith as “Annexure-2”.
