Deferred Profit Sharing Plan (the "401(k) Plan"), which fund invests in Common Shares of Worthington Industries, Inc. Common Shares attributable to reinvested dividends had been inadvertently omitted from the amount reported as being held through the 401(k) Plan in the reporting person's Form 4 dated and filed on October 2, 2017, and were also omitted from the amounts reported as being held through the 401(k) Plan in four other Forms 4 filed by the reporting person after October 2, 2017.

F4: The Worthington Industries, Inc. Amended and Restated 2005 Deferred Compensation Plan, as amended (the "Plan"), provides that effective October 1, 2014 and thereafter, any amount credited in a participant's account to the phantom stock fund (i.e. theoretical Company common shares deemed investment option) may not be transferred to an alternative deemed investment option under the Plan until distribution from the Plan. Distributions are made only in common shares of the Company and generally commence upon leaving employment with the Company.
