Director/PDMR Shareholding
On 29 May 2019 the following options over ordinary shares of US$0.001 each in Worldsec Limited (the "Company") were granted under the Company's Employee Share Option Scheme (the "Scheme"), which was adopted by shareholders in the Company's general meeting on 26 February 1997 and amended in the Company's general meeting on 29 September 2014, to the Directors and persons discharging managerial responsibilities ("PDMRs") as listed below. In addition to the options granted to PDMRs, a total of 300,000 options were also granted to certain staff of the Company.

The Options granted have an exercise price of US$0.034 per share, which, based on the USD/GBP exchange rate of 0.790 at the Date of Grant, is equivalent to 2.70 pence per share, being ninety per cent of the average of the middle market quotations of the Company's shares (as derived from the Daily Official List of the London Stock Exchange) for the five Business Days immediately preceding the Date of Grant. The Options have a vesting period of six months and a tenure of 10 years from the Date of Grant. Under the Scheme rules, the grantees are not required to pay for the grant of the Options.
