Notification of Holdings in Company

The Company has been informed that Rhino Ventures Limited (a company affiliated with Miles Pelham) has agreed to acquire 80,206,778 Ordinary Shares from DHC Investments Limited ("DHC"). As set out in the Further Conversion of the Convertible Bonds announcement of 27th July 2020, these are the Ordinary Shares that will be issued to DHC in consideration for the sale of its Convertible Bonds, and they will be issued to DHC following the General Meeting to be held on 5 August 2020, subject to shareholder approval.

Therefore, the completion of the acquisition of such Ordinary Shares by Rhino Ventures Limited is conditional upon shareholder approval at the General Meeting, and completion of the transfer of such shares will take place on a deferred basis following the payment of consideration by Rhino Ventures Limited. The Company will provide a further announcement once it has been informed that such transfer has taken place.

Following completion of the above purchase, Miles Pelham and his affiliate companies will own 284,762,713 Ordinary Shares (representing 19.9% of the voting share capital of the Company) and 951,365,095 non-voting right ordinary shares of £0.01 each (being 100% of the non-voting right ordinary shares in issue).

The above purchase was entered into on 27th July 2020 and the Company was notified the same day.  Terms and definitions used in this announcement shall have the same meaning as ascribed to them in the announcement dated 14 July 2020 unless otherwise stated.
