Subject: Intimation of the Meeting of Board of Directors of Wockhardt Limited (‘the Company’)

Pursuant to Regulation 29(1) of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform you that a meeting of the Board of Directors of the Company will be held on Friday, 26[th] May, 2023, inter-alia , to consider and approve the following:

• (i) the Audited Financial Results (Standalone & Consolidated) of the Company for the quarter and Financial year ended 31[st] March, 2023; and

• (ii) raising of funds by issue of Equity Shares, Global Depository Receipts, American Depository Receipts, Foreign Currency Convertible Bonds, fully convertible debentures, partly convertible debentures, non-convertible debentures with warrants, convertible preference shares into Equity Shares, and/or any other financial instruments convertible into Equity Shares (including warrants, or otherwise, in registered or bearer form) and / or any security convertible into equity Shares, combination of any of the aforementioned securities by way of one or more tranches of public and/or private offerings, Qualified Institutions Placement and/or on preferential allotment basis or any combination thereof or any other method as may be permitted under applicable law, subject to consent of shareholder at the ensuing Annual General Meeting and such approvals and compliances as may be required, and to approve ancillary actions for the above mentioned fund raising.

In view of the above, the Trading window for dealing in the Shares of the Company, which was closed from 1[st] April, 2023 shall remain closed until 48 hours after the declaration of financial results on 26[th] May, 2023.
