Pursuant to Regulation 29(1) of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform the Exchanges that a meeting of the Board of Directors of the Company will be held on 27[th] May, 2021, inter-alia , to consider and approve:

• (i) the Audited Financial Results (Standalone & Consolidated) of the Company for the quarter and year ended 31[st] March, 2021; and

• (ii) raising of funds by issue of Equity Shares, Global Depository Receipts, American depository receipts, Foreign Currency Convertible Bonds, fully convertible debentures, partly convertible debentures, preference shares convertible into Equity Shares, and/or any other financial instruments convertible into Equity Shares (including warrants, or otherwise, in registered or bearer form) and / or any security convertible into equity Shares, combination of any of the aforementioned securities by way of one or more public and/or private offerings, Qualified Institutions Placement and/or on preferential allotment basis or any combination thereof or any other method as may be permitted under applicable law, subject to consent of shareholder at the ensuing Annual General Meeting and such approvals as may be required, and to approve ancillary actions for the above mentioned fund raising.

Further, pursuant to Company's code of conduct for regulating, monitoring, reporting trading by designated persons and as informed vide letter dated 31[st] March, 2021, the Trading window for dealing in the Shares of the Company has been closed from 1[st] April, 2021 and shall remain closed till 29[th] May, 2021. The Trading Window shall re-open with effect from 30[th] May, 2021.
