On 28 October 2025, Winking Studios Limited (the "Company") issued 1,573,176 new ordinary shares (the "2025 Incentive Shares") to 10 Key Management Personnel of Shanghai Mineloader Digital Technology Co., Ltd. ("Shanghai Mineloader") as the 2025 Incentive Shares issuance pursuant to the terms of the Incentive Agreements, as set out in the Company's announcements dated 17 January 2025 and 21 October 2025 in relation to the proposed acquisition of 100% equity interest in Shanghai Mineloader.
