Issue of Equity in Lieu of Non-Executive Director Fees
Windar Photonics plc (AIM: WPHO), the technology group that has developed a LiDAR wind sensor and software suite designed to monitor and optimise wind turbine performance across multiple turbine platforms, today announces that it has issued 358,944 new ordinary shares of £0.01 each ("Shares") to settle certain Non-Executive Director fees due in respect of the 12 months to 31 December 2025. The issue prices of the Shares varied between 43.0 and 53.3 pence per Share depending on the contract of the respective director. The strike price of 53.3 pence per Share was the 12 month volume weighted average price for the 12 months ended 31 December 2025.

Total voting rights
Application will be made for the admission of the Shares to trading on AIM, which is expected to become effective at 8am on or about 31 March 2026 ("Admission").
Immediately following Admission the Company will have 96,726,770 Shares in issue. The Company does not hold any shares in treasury and all of the Shares have equal voting rights. Therefore, the figure above represents the total voting rights in the Company and may be used by shareholders as the denominator for the calculations by which they can determine if they are required to notify their interest in, or a change to their interest in the Company under the FCA's Disclosure Guidance and Transparency Rules.
