SAYE and Director/PDMR Shareholding

On 6 April 2023, Save As You Earn Options ('SAYE Options') with a per share exercise price of £2.45 over 426,206 ordinary shares in Wilmington plc (the "Company") were granted under the Wilmington SAYE Plan 2018 (the "SAYE Scheme") to employees of the Company and its subsidiaries. Participation in the SAYE Scheme was open to all eligible employees as defined by the scheme. The exercise price of £2.45 was calculated in accordance with the rules as set out in the SAYE Scheme. The SAYE Options will normally vest and become exercisable over a three year vesting period from the date of grant and can be exercised within six months following vesting.

SAYE Options were made to certain Directors of the Company and other Persons Discharging Managerial Responsibilities ("PDMRs"):
