WILLIAM HILL PLC ("the Company")

NOTIFICATION OF INTERESTS OF DIRECTORS

In fulfilment of obligations under DTR3.1.2R and DTR 3.1.4R (1) (a), William Hill PLC ('the Company') wishes to notify the following changes in the interests of persons discharging managerial responsibility ('PDMRs') in ordinary shares of 10p each in the Company ('Shares').

Arising out of the exercise of an option under the Company's Savings Related Share Option Plan 2002 on 13 August 2015, James Henderson, Chief Executive Officer of the Company, received 5451 Shares. The exercise price of these Shares was £1.65.

The above transaction took place in London.

Following the above transactions, the interests of James Henderson in the Company's Share Schemes are as follows:

In the above table, 'EBMS' refers to the Executive Bonus Matching Scheme; 'PSP' refers to the Performance Share Plan; and 'SAYE' refers to the Save As You Earn Sharesave Scheme. These awards have not vested and are subject to either the satisfaction of performance conditions, the completion of a deferral period or in the case of the SAYE, the completion of a savings contract.

James Henderson now has an interest in 101,992 Shares in his own name, equivalent to less than 0.1% of the Company's issued share capital.
