WILLIAM HILL PLC (the 'Company')

DIRECTOR/PDMR SHAREHOLDING

Following its announcement on 2 April 2020 Stephen Parry joined the Company as its Chief Operating Officer on 28 September 2020.

The Company made the following share awards to Stephen Parry on his joining the Company which are consistent with the offer of employment which he accepted on 2 April 2020:

(i)    123,306 ordinary shares in William Hill PLC ('WH Ordinary Shares') to be granted under the Company's Restricted Share Plan 2016 (the 'Company's RSP') which are due to vest on 30 June 2021, subject to Stephen's continuous employment on that date; and

(ii)   212,521 WH Ordinary Shares to be granted under the Company's Performance Share Plan 2014 (the 'Company's PSP') which are due to vest on 18 March 2022 subject to the attainment of the normal performance conditions.
