Notification of Transactions of Directors and

Persons Discharging Managerial Responsibility (PDMRs)

In fulfilment of obligations under DTR3.1.2R and DTR 3.1.4R (1) (a), William Hill PLC ('the Company') wishes to notify that on 30 October 2015, Gareth Davis, director and Chairman of the Company, purchased 31,600 ordinary shares in the Company at an average price of 316.19 pence per share.

Following the above purchase of shares, Mr Davis now holds 146,488 ordinary shares in the Company, equivalent to less than 0.1% of the Company's issued share capital.

The Company was informed of the above transaction on 30 October 2015. The transaction took place in London.
