FUTHER ANNOUNCEMENT UPDATE ON POTENTIAL CHANGE OF SINGLE LARGEST SUBSTANTIAL SHAREHOLDER

Reference is made to the announcement of Willas-Array Electronics (Holdings) Limited (the “ Company ”) dated March 30, 2023 and the announcement of the Company dated April 26, 2023 in relation to the potential change of the single largest substantial shareholder of the Company. Unless otherwise stated, the definitions and abbreviations used in this announcement shall have the same meanings as defined in the aforementioned announcements.

Following the completion of the transaction under the Share Purchase Agreement, and based on (a) the Notification Forms for Substantial Shareholders received by the Company and announced on May 2, 2023 on the website of the Singapore Exchange Securities Trading Limited (the “ SGX-ST ”) and (b) various Disclosure of Interests forms filed on April 28, 2023 with The Stock Exchange of Hong Kong Limited (the “ HKEX ”) by Mr. Xie and his wife Ms. Huang Shaoli (“ Mrs. Xie ”) separately:-

• 1. Texin has acquired 3,614,309 Shares from Mr. Hung Yuk Choy on April 27, 2023 and therefore Texin has an interest in an aggregate of 18,614,309 Shares representing approximately 21.24% of the total issued Shares as at April 27, 2023; and
• 1. accordingly, through Texin, Mr. Xie and Mrs. Xie, together with Kunshan Archer Electronics Co. Ltd. (“ Kunshan Ya Chuang ”), and Shanghai YCT Electronics Group Co Ltd (“ Shanghai Ya Chuang ”), are each deemed to be interested in the Shares in which Texin has an interest as set out above.

Therefore, each of Texin, Mr. Xie, Mrs. Xie, Kunshan Ya Chuang, and Shanghai Ya Chuang is regarded as the single largest substantial shareholder of the Company under the Listing Rules.

For the purposes of the Listing Manual of the SGX-ST, each of Texin, Mr. Xie, Mrs. Xie, Kunshan Ya Chuang, and Shanghai Ya Chuang is regarded as a controlling shareholder of the Company.
