1. That on April 6, 1998, in accordance with Decision No. 1998-MC-0795 dated April 1, 1998, I did deposit at one of her Majesty's Post Office the French Language version of the Directors’ Circular of WIC Western International Communications Ltd. dated April 3, 1998 in the form annexed hereto as Schedule “A”.

2. That the said document was mailed by ordinary post to each of the shareholders of WIC Western International Communications Ltd. residing in the Province of Québec using labels supplied by Montreal Trust Company of Canada as transfer agent of WIC Western International Communications Ltd.

3. That I am of the full age of majority;
