Whitbread PLC - Class Meeting Resolutions 3 July 2023
Whitbread PLC (the "Company") announces that at separate adjourned class meetings of the holders of (i) B preference shares of 1 pence each in the capital of the Company (the "B Shares") ("B Class Meeting"); and (ii) C preference shares of 1 pence each in the capital of the Company (the "C Shares") ("C Class Meeting"), the resolutions set out in the Notice of B Class Meeting dated 18 May 2023 and the Notice of C Class Meeting dated 18 May 2023, respectively, were voted on by a poll and were duly passed. The results of the B Class Meeting and C Class Meeting are as follows:

A copy the resolution passed at the B Class Meeting and C Class Meeting has been submitted to the National Storage Mechanism ("NSM") and will shortly be available for inspection at: https://data.fca.org.uk/#/nsm/nationalstoragemechanism. In accordance with paragraph 9.2.6E of the Listing Rules (disclosure of rights attached to equity shares), the Company has today uploaded to the NSM a copy of its articles of association, which set out the principal rights and restrictions attached to its ordinary shares, B Shares and C Shares. The document will shortly be available for inspection via the NSM at the link provided above.
