Where Food Comes From, Inc. (the “ Registrant ”) hereby incorporates by reference the description of its Common Stock, par value $0.001 per share, to be registered hereunder contained under the heading “Description of Capital Stock” in the Registrant’s Registration Statement on Form SB-2 (File No. 333-133624), as originally filed with the Securities and Exchange Commission (the “ Commission ”) April 28, 2006, as subsequently amended (the “ Registration Statement ”), and in the prospectus included in the Registration Statement to be filed separately by the Registrant with the Commission pursuant to Rule 424(b) under the Securities Act of 1933, as amended, which prospectus shall be deemed to be incorporate by reference herein.

The Registrant’s Common Stock to be registered hereunder has been approved for listing on The NASDAQ Capital Market of The NASDAQ Stock Market LLC under the symbol “WFCF.”
