TERMINATION OF THE SUBSCRIPTION OF NEW SHARES

UNDER GENERAL MANDATE

Reference is made to the announcements of China Baoli Technologies Holdings Limited (the “ Company ”) dated 23 April 2018 and 25 April 2018 (the “ Announcements ”) in relation to the issue of new shares under general mandate. Unless otherwise defined herein, capitalised terms used herein shall have the same meanings as defined in the Announcements.

As the condition to Tranche I Completion has been satisfied, the Company has demanded the Subscriber perform her obligation under the Subscription Agreement to proceed with Tranche I Completion on or before 15 June 2018. As the Subscriber has failed to comply with the Company’s request, the Subscriber is treated as having repudiated the Subscription Agreement. Accordingly, the Subscription has been terminated as a result of the Subscriber’s failure to comply with her obligation to proceed with Tranche I Completion.

Accordingly, the Subscription will not proceed. To the best knowledge, information and belief of the Directors, the termination of the Subscription will not have any material adverse impact on the business, operations or financial condition of the Group.
