SUPPLEMENTAL ANNOUNCEMENT APPOINTMENT OF EXECUTIVE DIRECTOR

Reference is made to the announcement of WH Group Limited (the ‘‘Company’’, together with its subsidiaries, the ‘‘Group’’) dated January 4, 2021 (the ‘‘Announcement’’) in relation to, among other things, the appointment of Mr. Dennis Pat Rick Organ (‘‘Mr. Organ’’) as an executive Director. Unless otherwise defined, capitalised terms used in this announcement shall have the same meanings as those defined in the Announcement.

The Company would like to provide the following supplemental information on the emoluments of Mr. Organ.

As disclosed in the Announcement, Mr. Organ is not entitled to receive any Director’s fee but is entitled to receive a discretionary management bonus which will be determined by the Board with reference to the performance of the Company, the prevailing market conditions and his individual overall performance as a Director after the completion of each service year.

Mr. Organ currently also serves as a director, president and chief executive officer of Smithfield Foods, Inc. (‘‘Smithfield’’) (an indirect wholly owned subsidiary of the Company), and he is entitled to a basic annual salary of US$1,500,000 and a performance-based bonus which is linked to the operating results of Smithfield.

The aforementioned remuneration of Mr. Organ for his positions in the Group was determined with reference to his duties and responsibilities and the prevailing market conditions.

As at the date of this announcement, the executive directors of the Company are Mr. WAN Long, Mr. WAN Hongjian, Mr. GUO Lijun, Mr. Dennis Pat Rick ORGAN and Mr. MA Xiangjie; the non-executive director of the Company is Mr. JIAO Shuge; and the independent non-executive directors of the Company are Mr. HUANG Ming, Mr. LEE Conway Kong Wai and Mr. LAU, Jin Tin Don.
