CHANGE OF AUDITORS

This announcement is made by China Baoli Technologies Holdings Limited (the “ Company ”) pursuant to Rule 13.51(4) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited.

The board of directors of the Company (the “ Board ”) announces that Ting Ho Kwan & Chan CPA Limited (“ Ting Ho Kwan & Chan ”) has resigned as the auditors of the Company with effect from 19 April 2018. As stated in its resignation letter, Ting Ho Kwan & Chan resigned after taking into account factors including the level of audit fees, its available internal resources in light of current work flows and the professional risk associated with the audit.

The Board also announces that, with the recommendation of the audit committee of the Company, Asian Alliance (HK) CPA Limited has been appointed as the new auditors of the Company with effect from 19 April 2018 to fill the casual vacancy following the resignation of Ting Ho Kwan & Chan and to hold office until the conclusion of the next annual general meeting of the Company.

The Company has received a letter from Ting Ho Kwan & Chan confirming that there are no matters in connection with its resignation that need to be brought to the attention of holders of securities or creditors of the Company. The Board also confirms that there are no other matters in respect of the proposed change of auditors that need to be brought to the attention of holders of securities or creditors of the Company.
