("RCF V"), of which Resource Capital Associates V L.P. is the general partner, and RCA V GP Ltd. is the general partner of Resource Capital Associates V L.P. RCA V GP Ltd. and Resource Capital Associates V L.P. exercise voting and dispositive power over the shares held by RCF V. As a consequence, Resource Capital Associates V L.P. and RCA V GP Ltd. are indirect beneficial owners of the shares pursuant to Rule 16a-1(a)(1) under the Securities Exchange Act of 1934. However, Resource Capital Associates V L.P. and RCA V GP Ltd. disclaim direct or indirect beneficial ownership of the shares to the extent permissible pursuant to Rule 16a-1(a)(4) under the Securities Exchange Act of 1934.
F2: Following the approval of the Loan Agreement, dated November 13, 2013, between Uranium Resources, Inc. ("URI") and RCF V by URI's stockholders on January 29, 2014, RCF V may elect, at any time, to convert amounts drawn under the Loan Agreement (including amounts previously repaid) into shares of URI's common stock at an initial rate of $2.60 per share, which conversion rate is subject to adjustment in certain circumstances. On February 4, 2014, URI drew $2.0 million under the Loan Agreement, following which an aggregate of $5.0 has been drawn under the Loan Agreement.
