Item 8.01. Other Events.

On March 6, 2013, Westlake Chemical Corporation announced that it had signed an agreement to acquire the assets of the Pipe and Foundations Group business of CertainTeed Corporation, a subsidiary of Compagnie de Saint-Gobain. The purchase price is $175 million in cash, including $22 million of working capital, with closing adjustments. The transaction is subject to closing conditions including regulatory review. A copy of Westlake's press release is furnished as Exhibit 99.1 to this Form 8-K.
