NOTICE OF CHANGE OF AUDITOR

(National Instrument 51-102)

TO: Alberta Securities Commission British Columbia Securities Commission Ontario Securities Commission TSX Venture Exchange

AND TO: Kenway Mack Slusarchuk Stewart LLP simone & company LLP

Western Gold Exploration Ltd. (the “ Corporation ”) hereby gives notice pursuant to Part 4 of National Instrument 51-102 – Continuous Disclosure Obligations (" NI 51-102 ") as set forth below:

1. The Corporation received notice from Kenway Mack Slusarchuk Stewart LLP (the “ Predecessor Auditor ”) wherein they advised the Corporation that they were not interested in continuing in its capacity as auditor following the recent “Qualifying Transaction” of the Corporation, that the Corporation should engage the services of another auditor, and the Predecessor Auditor will resign upon appointment of the Corporation’s new auditor.

2. Effective on March 11, 2021, the Predecessor Auditor resigned as auditor of the Corporation on its own initiative.

3. The board of directors of the Corporation has approved the resignation of the Predecessor Auditor and the appointment of simone & company LLP as auditor of the Corporation to hold office until the next annual meeting of shareholders of Corporation.

4. The Predecessor Auditor did not express a modified opinion on the annual financial statements of the Corporation for the two fiscal years preceding the date of this Notice or any similar reservation on interim financial information for any subsequent period preceding the sate of this Notice.

5. In the opinion of the Corporation, as at the date hereof, there have been no reportable events (as defined in NI 51-102).
