The Board of Directors recommends a vote FOR Proposals 2, 3, 4 and 5:

  1. To approve on an advisory basis the named executive officer compensation disclosed in the Proxy Statement.

  2. To approve an amendment and restatement of our 2004 Performance Incentive Plan that would, among other things, increase by seventeen million (17,000,000) the number of shares of our common stock available for issuance under that plan.

  3. To approve an amendment and restatement of our 2005 Employee Stock Purchase Plan that would, among other things, increase by six million (6,000,000) the number of shares of our common stock available for issuance under that plan.

  4. To ratify the appointment of KPMG LLP as our independent registered public accounting firm for the fiscal year ending July 1, 2016.
