• RE: Annual general and special meeting of the common shareholders to be held on June 17, 2021 (the " Meeting ") of West High Yield (W.H.Y.) Resources Ltd. (the “ Company ”)

With reference to National Instrument 54-101 – Communication with Beneficial Owners of Securities of a Reporting Issuer (“ NI 54-101 ”), the undersigned, Frank Marasco Jr., President and Chief Executive Officer, of the Company, hereby certifies for and on behalf of the Company, and not in his personal capacity and without personal liability, that:

• (a) in accordance with the requirements set out in section 2.20(a.1) of NI 54-101, arrangements have been made to fix the record date for notice of the Meeting at least 40 days before the date of the Meeting and to send the notification of Meeting and record dates under section 2.2 of NI 54-101 at least 3 business days before the record date for notice; and

• (b) the Company is relying on section 2.20 of NI 54-101 to abridge the time periods prescribed in section 2.2(1) of NI 54-101 applicable to the Meeting.
