Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 28, 2010, Wendy’s/Arby’s Group, Inc. (the “Company”) announced that Thomas A. Garrett ceased to be a Director and the President and Chief Executive Officer of Arby’s Restaurant Group, Inc. (“ARG”), a wholly owned subsidiary of the Company, and the other positions he held as an officer for certain subsidiaries of the Company. Mr. Roland C. Smith, the Company’s President and Chief Executive Officer, will assume the role as President of ARG while the Company engages in a search for a successor to Mr. Garrett.

A copy of the press release announcing the departure of Mr. Garrett is attached hereto as Exhibit 99.1 and incorporated by reference herein.
