Dear Sirs,

Sub: Update on the Trademark Assignment agreement entered by the Company with Wendt GmbH, Promoter.

We refer to our letter dated January 21, 2025 intimating the execution of the Trademark Assignment Agreement (Agreement) with Wendt GmbH, for acquiring the absolute ownership of the “Wendt” brand and trademarks with over 60 registrations in 40 countries, owned by Wendt GmbH and/or its affiliates worldwide in accordance with the Agreement, for an amount not exceeding 3.8 million Euros.

In this regard we wish to inform that today, the Company has remitted the purchase consideration of 3.8 million Euro to the seller’s account as per the terms of the agreement after having received the Shareholders’ approval pursuant to Regulation 23 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015.
