Wendel's corporate governance: renewal and continuity

  • François de Wendel appointed as Chairman of Wendel's Supervisory Board
  • Ernest-Antoine Seillière appointed as Wendel's Honorary Chairman
  • Frédéric Lemoine and Bernard Gautier reappointed for four years as Chairman and Member of the Executive Board, respectively
  • Appointment of three new Members of the Supervisory Board to be submitted for shareholders' approval at the Annual Meeting

In its meeting of March 27, 2013, the Supervisory Board, under the chairmanship of Ernest-Antoine Seillière, reappointed the Executive Board. The terms of Frédéric Lemoine, Chairman, and Bernard Gautier were renewed for four years, beginning on April 7, 2013.

The appointment of three new Members of the Supervisory Board will be submitted for shareholders' approval at the Annual Meeting of May 28, 2013:

  • Laurent Burelle, Chairman and CEO of Compagnie Plastic Omnium, as an independent member;
  • Bénédicte Coste and Priscilla de Moustier, Wendel family shareholders;
  • Shareholders will also be asked to renew the term of Edouard de l'Espée, Supervisory Board Member since 2004;
  • Ernest-Antoine Seillière will not seek a new term.

At the end of the meeting, Mr. Seillière offered to withdraw from his position as Chairman of the Supervisory Board. The Board thanked Mr. Seillière on behalf of the Company for his very great contribution to the Company over the course of the 35 years during which he has exercised his responsibilities and played a major role in the development of Wendel.

Immediately thereafter, the Board elected François de Wendel as Chairman. Upon the proposal of the new Chairman, Mr. Seillière was named Honorary Chairman and Ms. Dominique Hériard Dubreuil was appointed Vice-Chairman of the Supervisory Board.

François de Wendel

Mr. de Wendel is a graduate of the Institut d'Etudes Politiques in Paris and holds a MBA from Harvard University and a master's degree in economics.

He began his career with a number of senior management roles at Carnaud and CarnaudMetalbox. In 1992, he joined the Pechiney Group where he was CEO of Aluminium de Grèce. From 1998 to 2005, he held executive management roles at Crown Cork, firstly as Senior Vice-President in charge of procurement for Europe, then as Executive Vice-President in charge of the "Food Europe Africa & Middle East" division.

Laurent Burelle

Mr. Burelle is a graduate of the Swiss Federal Institute of Technology in Zurich and holds a master's of science from the Massachusetts Institute of Technology (MIT).

He joined Compagnie Plastic Omnium as a Manufacturing engineer, before being promoted Assistant to the Langres factory manager (1975), CEO of Plastic Omnium Iberica (1977), Chairman & CEO of Plastic Omnium Spain (1980) and then of Compañia Plastic Omnium Spain (1981), Compagnie Plastic Omnium service department head (1981-88), Vice-chairman and CEO (1987-2001), Chairman & CEO (since 2001).

Bénédicte Coste

Ms. Coste is a graduate of HEC (major in finance) and also holds a degree in law and a two-year technical degree (BTS) in the analysis of agricultural enterprises.

She began her career in the finance division of Elf Aquitaine where she managed a portfolio in the Markets & Portfolio department from 1980 to 1984. In 1986, she started a portfolio management business first as an independent, before setting up "Financière Lamartine", a portfolio management company specialized in discretionary asset management. Ms. Coste is a member of the "Bank and asset management group" at the HEC Association. She was President of AFER, the French savings and retirement association, from April 2004 to November 2007.

Priscilla de Moustier

Ms. de Moustier is a graduate of the Institut d'Études Politiques in Paris and holds a MBA from Insead and a degree in mathematics and economics.

After negotiating the sale of turnkey manufacturing facilities for Creusot-Loire Entreprises and working as a consultant at McKinsey, Ms. de Moustier joined Berger-Levrault, where she was responsible for new project development in the Metz technology park. Since 1997, she has supervised Wendel chair and subsequently the Wendel Center at Insead. She also represents Wendel-Participations in the Family Business Network.

Edouard de l'Espée

Mr. de l'Espée is a graduate of the Ecole Supérieure de Commerce de Paris.

He began his career in 1972 as a financial analyst in Geneva, then as a bond specialist and portfolio manager at Banque Rothschild in Paris. From 1979 to 1985, he was in charge of centralized asset management at Banque Cantrade Ormond Burrus, Geneva. In 1986, he took part in creating and developing an independent portfolio management company in London. Mr. de l'Espée co-founded Praetor Gestion (Luxembourg) in 1987 (and has managed its bond funds since then), Concorde Bank Ltd (Barbados) in 1988 and Calypso Asset Management (Geneva) in 1999. In 2008, he merged Calypso with Compagnie Financière Aval (Geneva) and became its Executive Director. He has been a member of the Swiss Financial Analysts Association since 1984.
