WENDEL: ANNUAL GENERAL MEETING SET FOR MAY 28, 2013

Wendel informs its shareholders that the Combined Ordinary and Extraordinary Annual General Meeting to be held on May 28, 2013 at 15:30 am at the Palais Brongniart (Place de la Bourse, 75002 Paris).

The notice of meeting, being worth convening notice, is published today in the Bulletin des Annonces Légales Obligatoires (www.journal-officiel.gouv.fr/balo). It includes notably the agenda, projects of resolutions which will be presented to the Assembly and the main terms governing attending and voting. It is also available on the Wendel website: wendelgroup.com, in the "Shareholder's portal", directly accessible on the homepage.

Shareholders will be asked to approve a dividend consisting of €1.75 per share, with ex-dividend date on May 30, 2013 and dividend payment date on June 4, 2013.

Other documents and information concerning this meeting will be available to shareholders and also published on the Wendel website from May 7, 2013, under legal and regulatory conditions.
